This Agreement is between Coach Vinny (hereafter referred to as “Service Provider”) and all its subscribers (hereafter referred to as “Client”) unless the context requires otherwise.
The Service Provider, and/or its assignee does not guarantee any type of profit or response from said services.
The Client shall irrevocably indemnify the Service Provider and/or its assignee from and against any and all losses, claims, expenses, suits, damages, costs, demands or liabilities, joint or several, of whatever kind or nature which the Service Provider and/or its assignee may sustain, and/or to hold the Service Provider and/or its assigns harmless to which the Service Provider and/or its assignee may become subject arising out of or relating in any way to the use of the services provided under this Agreement, including, without limitation, in each case attorneys’ fees, costs and expenses actually incurred in defending against or enforcing any such losses, claims, expenses, suits, damages or liabilities.
The Website Terms of Use of this agreement is governed by and will be construed according to the laws of the State of Delaware in the United States.
1. Services
- The Service Provider agrees to provide the Client a website development and management service.
- The subscription service and the website platform setup for the Client is available for the Client to use, so long as the subscription payments are made or if the Client arranges a buyout of the service.
- Note that once the new website platform is provided for client to use, only Junior Admin access is provided. This serves to protect the site from back-end code breakages. Full Admin Access may be provided upon completion of the Coach Vinny Access Agreement. Please see section fifteen (15) for cancellation details.
2. Service Fees
The Client agrees to pay the fees that shall be charged to his account as a result of using the Service Provider service, including but not limited to:
- Subscription fees;
- Fees for supplemental services or features;
- Additional website customization; and
- Purchases made through the use of the Service.
The Client agrees that subject to any applicable law, fees and charges for Service Provider services are non-refundable unless the pricing terms for the applicable service expressly states otherwise.
Subscription Start Date
The subscription fee for website builds will begin on whichever date comes first:
- 60 days after the home page approval, or
- Upon the website going live.
Contract Term
All website development projects sold by Coach Vinny include a 12-month subscription contract. This 12-month term shall begin on the date the subscription starts (as defined above). The purchase or payment of an initial setup fee does not start the 12-month contract.
3. Effective Date
- This Agreement and the Client’s use of Service Provider’ services shall become effective on the date the order is submitted by the Client.
- Unless amended or termination notice is submitted by the Client in accordance with Section 15, this agreement shall continue to bind the parties under the same terms and conditions.
- For avoidance of doubt, the billing and contractual term associated with the 12-month website subscription shall commence on the subscription start date.
4. Method of Payment
- The Client shall provide a valid credit card prior to and during any time the Client receives Services.
- Monthly subscribers will be charged the full monthly service fee in advance on a recurring basis.
- Receipts will be emailed directly to the Client through our secure payment merchant.
- The Client acknowledges that the Service Provider will not require additional authorization for recurring payments.
- The Client shall be liable for any fees incurred in efforts to collect unpaid balances more than fourteen (14) days past due.
- Billing discrepancies must be brought to our attention within sixty (60) days of the billing date or the right to dispute is waived.
5. Account Termination
The subscription may be terminated on the following grounds:
- Service fees are unpaid after more than 30 days;
- Violation of these Terms Of Service;
- Website is used for purposes the Service Provider believes to be illegal or offensive (e.g., pornographic content, terrorist activities, etc.).
6. Warranties
- The Service Provider makes no warranties of any kind, expressed or implied, with respect to the services provided.
- The Service Provider expressly disclaims any implied warranty of merchantability or fitness for a particular purpose.
- We shall not be liable for any damages, including loss of data or service interruptions, resulting from the use or inability to use the service.
- Weekly backups are performed on a "best effort" basis via third-party hosting providers (Amazon S3).
7. Client Responsibilities
The Client agrees to:
- Submit necessary content to build the website in a timely manner.
- Use the website in a legal, ethical manner.
- Respect intellectual property and copyright laws.
- Accept notifications of service changes via email.
9. Submission of Content
- The development team will not start the website build until the home page designs have been signed off conclusively by the client.
- Design revisions are limited to two rounds. A "round" is defined as a design draft followed by client feedback within 7 days.
- Revision requests exceeding two rounds will incur a fee of $80 per additional round.
- If the Client fails to submit necessary content within 6 months of the order, the project will be placed on hold. A restart fee of $500 (or the current pricing difference) will apply.
13. Refunds, Upgrading and Downgrading
- The service is billed at the beginning of each month and is non-refundable. There are no refunds for partial months or unused time.
- Clients are eligible for a full cash refund within 30 calendar days of their initial purchase if dissatisfied with work quality.
- After 30 days, clients are no longer eligible for a cash refund. A credit (minus hours worked and a $250 admin fee) may be issued if the build has not yet commenced or been mapped to a domain.

15. Cancellation and Termination
- The Client is solely responsible for properly cancelling their account using the official Coach Vinny Cancellation Form.
- Any early termination within the first 12 months requires a buyout of the remaining contract term.
- Paid premium licenses (plugins/themes) owned by Coach Vinny do not transfer upon cancellation.
- Website files are deleted immediately upon cancellation unless a transition is arranged in writing.
17. Copyright and Content Ownership
- The Client retains ownership of all written content, photos, and user data provided.
- The Service Provider claims no intellectual property rights over material provided by the Client.
- The "look and feel" of the website produced is Copyright © 2026 Coach Vinny. Duplication or reuse of the design without written permission is prohibited.
18. General Conditions
- Technical support is provided via email and our online portal to paying account holders.
- Abuse of any kind toward Coach Vinny staff or members will result in immediate account termination.
- The Service Provider does not guarantee that the service will be uninterrupted or that specific lead/sales results will be achieved.
